Before SEC corporate filings were submited electronically, companies sent the SEC paper copies of their filings, and they were stored in filing cabinets and on microfiche. These filings are still being stored because many important documents can only be found on companies original SEC filings, from decades ago. Every 10-K has a list of exhibits that have been filed by a company. For example, this is a list of some of the exhibits from the Coca Cola Corporation's 10-K for fiscal year ending December 31, 2000.
As you can see some of these documents were filed before EDGAR was required and may not be available electronically. If you needed a copy of exhibit 10.2, the Supplemental Disability Plan of the Company, it might be necessary to get a copy of the original printed copy. Can I get Non Edgar SEC filings for free? Most likely it will not be possible to get these filings for free, because they are not available to be downloaded and sent over the internet. How do I go about getting a copy of an SEC filing that was not filed electronically? First of all you could go to the SEC Reading Room in Washington, DC and make a copy of the document from microfiche. Most likely you would contact Disclosure, the vendor that has a contract with the SEC to provide filings to the public. It is possible to order all filings from Disclosure online using the company search functions at Disclosure's Investors homepage. If you know the filing you are looking for it is as simple as filing out an electronic form, and agreeing to pay (the prices are per filing- usually $30 or so) for the documents |
